1. Acceptance of Terms
By accessing or using the NexraPay payment gateway services ("Services") provided by Nexra Corppe Private Limited ("Company", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our Services.
2. Definitions
- "Merchant" – A business or individual registered on NexraPay to accept payments.
- "Partner" – A reseller or referral agent onboarded on our platform.
- "Transaction" – Any payment processed through our payment gateway.
- "Settlement" – Transfer of collected funds to the Merchant's designated bank account.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract under Indian law. Businesses must be validly registered under applicable Indian laws (Companies Act, 2013 / Partnership Act / GST Act).
4. Services Offered
NexraPay provides the following payment aggregation services:
- Online payment collection via UPI, Cards, Net Banking, Wallets
- AEPS (Aadhaar Enabled Payment System)
- Domestic Money Transfer (DMT)
- Bill payments, Recharges, and Utility payments
- Payment Links and QR Code based collections
- API-based integrations for developers
5. Merchant Obligations
- Provide accurate KYC documentation as required by RBI guidelines
- Not use our Services for prohibited or illegal activities
- Maintain compliance with all applicable laws including GST, IT Act, and FEMA
- Not process transactions related to gambling, adult content, cryptocurrency trading, or any activity prohibited under Indian law
- Ensure customer refunds are processed within the timelines agreed upon
6. Fees & Settlements
- Transaction charges vary by payment mode and are detailed on our Pricing page.
- Settlement cycles are T+1 for standard accounts and real-time for premium accounts.
- GST at applicable rates (currently 18%) will be charged on all service fees.
- We reserve the right to deduct chargebacks, refunds, and penalties from settlements.
7. Prohibited Activities
You shall not use NexraPay for:
- Money laundering or terror financing
- Fraudulent transactions or identity theft
- Sale of prohibited goods under Indian law
- Any activity that violates RBI's Payment Aggregator guidelines
8. Intellectual Property
All content, trademarks, logos, software, and technology associated with NexraPay are the exclusive property of Nexra Corppe Private Limited. Unauthorized use or reproduction is strictly prohibited.
9. Limitation of Liability
NexraPay shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability shall not exceed the fees paid by you in the preceding 3 months.
10. Indemnification
You agree to indemnify and hold harmless Nexra Corppe Private Limited and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
11. Termination
We may suspend or terminate your account at any time if you violate these Terms or if required by regulatory authorities. Upon termination, pending settlements will be processed subject to completion of any ongoing disputes.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Ghaziabad, Uttar Pradesh, India.
13. Amendments
We reserve the right to modify these Terms at any time. Continued use of the Services after amendments constitutes acceptance of the revised Terms.
